These TOS apply to all supply of Products and Services by 800TH to customers.
- Interpretation
- “800TH” means the trading name of Liquidhub Sdn. Bhd (Co Reg. No. 1383674) located at J-3A-1, Block J, Setiawalk, Persiaran Wawasan, Pusat Bandar Puchong, 47160 Puchong, Selangor for the Products and Services supplied to the Customer;
- “Customer” means the person, firm or company being the counterparty to which or whom the contract of sale for Products and/or Services relate;
- “Products” means the goods, products and/or merchandise being the subject matter of this TOS between 800TH and the Customer on the terms and conditions contained herein; and
- “Services” means all services supplied by 800TH to the Customer and includes any advice or recommendations.
- Acceptance
The terms and conditions set out in the sales order, quotation and/or invoice form an integral part of this TOS between 800TH and the Customer. Confirmation of the sales order or quotation by the Customer shall be deemed as acceptance of the TOS. In case of any inconsistency between the terms and conditions set out in the sales order, quotation and/or invoice, and the terms and conditions set out in this TOS, the former shall prevail in the order of invoice, sales order followed by quotation to the extent of the inconsistency.
- Risk and Title
All risk and title for the Products and Services shall pass to the Customer upon full payment made by the Customer and completion of delivery and installation the Products.
- Prices and Payment
- Prices for Services are exclusive of service tax which shall be borne by the Customer, if applicable;
- Upon receipt of tax invoice by the Customer, the invoiced amount shall be immediately due unless otherwise stated;
- Payment shall be made in the currency as stated in the invoice to 800TH;
- It is hereby agreed that if the Customer fails to observe or comply with any of the terms herein contained, any deposit, advance payment and/or pre-payment for or in respect of the Products shall be forfeited by 800TH and 800TH shall be at liberty (on its own account) to sell or otherwise deal with or dispose of the Products in such manner as it may deem fit. Any deficiency in price that may result in and all expenses attending a resale or attempted resale in respect thereof shall be made good and paid by the customer and recoverable by 800TH. Any increase of price on a resale shall belong to 800TH
- Delivery
- The Customer acknowledges that the date of mobilisation and/or demobilisation can only be fixed and agreed upon in separate mutual arrangements after confirmation of order of the Products and Services;
- The Customer shall give no less than 2 business days’ notice to 800TH in the event that the Customer intends to reschedule the agreed date and time;
- The Customer shall be responsible for making ready the site location prior to the delivery and installation of the Products and Services including but not limited to:-
- Availability of parking and unloading area for a 5-tonner-truck which is reasonably a short walking distance from the installation site;
- Unobstructed path from the unloading area to the installation site for the moving of Products in its carton packing or by components;
- Reasonable unobstructed space for the installation work and placement of the Products;
- Availability of befitting electrical socket for the power supply to the Products;
- Proper written permit/approval/clearance from the site and/or building management for 800TH to deliver and install the Products.
- The Customer agrees to bear extra charges if the following circumstances occur:
- Delivery and/or installation of the Products are forced to be delayed, returned, aborted or rescheduled due to the Customer’s failure to observe and perform any provision in accordance to paragraph 4(b) and 4(c) above;
- The unloading area is more than 50 meter away from the Customer’s building;
- Extra labor work (installation of electrical power socket, moving via staircases etc) or equipment (skylift, forklift etc) required for the moving and/or installation of the Products from unloading area to the installation site;
- Delivery to outside of Klang Valley;
- 800TH is required to attend mandatory pre-delivery safety briefing as dictated by the site/building management and/or the Customer;
- Delivery and/or installation outside of normal business hours or on Sunday and Public Holidays as required by the Customer.
- The Customer shall inspect the Products immediately upon completion of delivery and installation and shall promptly notify 800TH of any alleged defect, shortage in quantity, damage or failure to comply with the description of Products ordered.
- Notwithstanding the preceding paragraph, Delivery Order issued by 800TH shall be chopped and signed by the Customer upon completion of delivery and installation.
- Warranty and Liability
- Products warranty shall be governed by 8OOTH Product Warranty Agreement which is available at www.800th.co.
- Except as expressly set forth in this TOS, the Products are provided on an ‘as is’ and ‘as available’ basis without warranties of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose and non-infringement.
- No warranty is provided that the Products will be free from defects, malfunctions, viruses or that operation of the Products will be uninterrupted. In the event the Products are not available for use due to any defects, damages, malfunctions, repair and/or maintenance, 800TH shall not be liable to any loss or claim from the Customer.
- 800TH shall not be liable for any losses, damages or expenses sustained by the Customer or any
- Governing Law
The laws of the Malaysia shall govern and apply to the interpretation of the provisions contained herein.
- Amendment
800TH reserves the right to add, delete, amend or update the provisions of this TOS from time to time.
- Severability
In the event any provision of this TOS is determined to be void or unenforceable by law, such determination shall not affect the remainder of this TOS, which shall continue to be in force.
